Terms of Service

Effective Date: September 8, 2026

Welcome to Shuffle, a service of DNFT, Inc. ("DNFT", "Company", "we", "us", or "our"). These Terms of Service ("Terms") govern your access to and use of our websites, applications, messaging services, AI-powered features, and related software and documentation (collectively, the "Service").

By accessing or using the Service, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, do not use the Service.

IMPORTANT: PLEASE READ SECTION 14 (DISPUTE RESOLUTION AND ARBITRATION) CAREFULLY. IT CONTAINS A BINDING ARBITRATION AGREEMENT AND CLASS ACTION WAIVER THAT AFFECTS YOUR LEGAL RIGHTS.

1. Eligibility and Acceptance

1.1 Age Requirements

You must be at least 13 years of age to use the Service. Children under 13 are strictly prohibited from using the Service under any circumstances.

If you are between 13 and 17 years old, you may only use the Service with the consent and supervision of a parent or legal guardian. By allowing a minor to use the Service, the parent or guardian agrees to these Terms on behalf of the minor and accepts responsibility for the minor's use of the Service.

You must be at least 18 years of age to access uncensored or adult content features. Age verification via government-issued identification is required before these features are enabled.

We do not knowingly collect personal information from anyone under 13. If we discover that a child under 13 has used the Service, we will immediately terminate the account and delete any associated data. If you believe a child under 13 is using the Service, please contact us immediately at support@dnftinc.com.

1.2 Legal Capacity

By using the Service, you represent and warrant that you:

  • Are at least 13 years of age (or at least 18 if required by your jurisdiction)
  • If between 13 and 17, have parental or guardian consent to use the Service
  • Are not barred from using the Service under any applicable law
  • Will comply with these Terms and all applicable local, state, national, and international laws, rules, and regulations

1.3 Organizational Use

If you use the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms, and you agree to these Terms on behalf of that organization.

1.4 Acceptance of Terms

By using the Service, you accept these Terms and our Privacy Policy. We may update these Terms from time to time. Continued use of the Service following any updates constitutes your acceptance of the revised Terms.

2. Description of Service

2.1 AI-Powered Features

Shuffle provides AI-powered services including, but not limited to:

  • Conversational AI assistants accessible via SMS/iMessage
  • Information retrieval and web search
  • Image generation and editing
  • Video and audio generation
  • Reading live web pages and taking actions on your behalf on third-party websites and services (see Section 2.5)
  • Creating, hosting, and sharing small apps, games, and other interactive content
  • Games and entertainment features
  • Reminders, routines, and productivity tools
  • Messages the Service sends on its own initiative (see Section 8.2)

Specific features may be added, modified, or removed at any time without prior notice.

2.2 Group and Individual Conversations

When you use our AI features in group conversations, messages and metadata in those conversations may be processed to operate the Service.

Group Chat Consent Requirements:

  • Do not add Shuffle to any group chat unless you have obtained permission from all participants.
  • You are responsible for ensuring that all participants in group conversations consent to the presence of AI that can read messages and respond.
  • By adding Shuffle to a group chat, you represent that you have the authority to do so and that all participants have been informed.
  • Tell them what Shuffle actually does in a group: it reads the conversation, it can reply, it may send a message on its own, and it can be asked to take Actions (Section 2.5).

Actions Requested in a Group:

  • Anyone in a group can ask Shuffle to do something. Shuffle acts using the account, the connections, and the balance of the person whose account the request runs against.
  • If you connect an account or a payment method, do not assume it is walled off from a group you are in. Connect only what you are willing to have used on your behalf, and leave or remove Shuffle from any group where that is not true.

Removal from Group Chats:

  • Any participant may request removal of Shuffle from a group chat by texting STOP or by contacting support@dnftinc.com.
  • If you believe Shuffle was added to a group chat without your consent, contact support@dnftinc.com to report the issue.

2.3 AI Exists Only in Digital Form

THE AI SERVICE EXISTS ONLY AS A DIGITAL TEXT AND VOICE INTERFACE. THE AI CANNOT AND WILL NOT MEET YOU OR ANY OTHER USER IN PERSON, IN REAL LIFE, OR AT ANY PHYSICAL LOCATION.

The AI is not a real person. Any interactions suggesting physical meetings are prohibited, and any representations by the AI about meeting in person should be disregarded as errors.

2.4 Availability

The Service is provided on an "as available" basis. The Service may experience delays, outages, or limitations. We reserve the right to suspend, modify, or discontinue any feature or the entire Service at any time, with or without notice.

2.5 Actions the Service Takes on Your Behalf

Some features do more than answer you. When what you ask for requires it, the Service can read the live web and act in it on your behalf: opening pages, signing in to accounts you direct it to, filling in and submitting forms, placing orders, making bookings, and sending things. We call these "Actions."

By asking for something that requires an Action, you authorize us to take that Action and the steps it reasonably requires, and you appoint the Service as your agent for that purpose. Agreements, bookings, purchases, and acceptances of a third party's terms that the Service enters on your behalf bind you as if you had entered them yourself.

Before you use these features, understand and accept the following:

  • Actions are often irreversible. An order placed, a message sent, a booking made, or a form submitted may not be possible to undo.
  • Actions are only as good as your instructions. Incomplete, inaccurate, or ambiguous instructions can produce an incomplete, inaccurate, or unintended result.
  • AI can misread a page. The Service may misidentify a button, a price, a quantity, a date, a recipient, or a confirmation step.
  • You are responsible for the outcome. You are responsible for every Action taken at your request and for every consequence of it, financial, contractual, legal, or otherwise.
  • Safeguards are not a guarantee. We may add confirmation steps, limits, or other controls to certain Actions. We do not promise that any safeguard will prevent an unintended, mistaken, or erroneous Action.
  • Verify anything that matters. What the Service reports back about an Action may be incomplete or wrong. Check the third-party service itself.

Do not use the Service to take Actions where an error would be unsafe, unlawful, or seriously harmful, or where a law or a third party requires a human decision.

2.6 Connected Accounts and Services

You may connect third-party accounts and services to Shuffle, or sign in to one during a task so the Service can keep working on your behalf ("Connected Services").

By connecting a service, or by signing in to one during a task, you authorize us to access it, exchange data with it, and take Actions on it on your behalf, and you represent that:

  • You own the account, or you are authorized to use it and to grant this access.
  • Your use of that service through Shuffle is permitted by that service's own terms. Some services restrict automated access. Complying with their terms is your responsibility, not ours.
  • You will keep the access you grant limited to what you actually want the Service to be able to do.

You may disconnect a Connected Service at any time. Disconnecting stops future access. Disconnecting does not by itself delete information we already received from that service. To have that deleted, contact privacy@dnftinc.com, and we will handle it as described in our Privacy Policy.

We do not control Connected Services. They may change, break, restrict automated access, or close your account with them at any time, and we are not responsible when they do.

2.7 Purchases and Payments to Third Parties

When the Service buys or pays for something at your request, that transaction is between you and the merchant or provider:

  • You are the buyer. We are not the seller, not the merchant, and not a party to the transaction.
  • We are not processing the payment. Payment is handled by the merchant and by the payment provider you authorize.
  • The merchant's terms govern. Their pricing, fees, taxes, shipping, cancellation, return, and refund policies apply to the purchase, not ours.
  • Disputes go to the merchant. Refunds, chargebacks, defects, wrong items, and non-delivery are between you and them.
  • You authorize us to share what the purchase requires. That includes the information the merchant or the payment provider needs in order to complete it.

You are responsible for having the right to use any payment method you make available to the Service, and for the charges that result from Actions you asked for. This section covers purchases from third parties. Fees you pay us for the Service are covered by Section 10.

2.8 Beta and Experimental Features

We ship new things often, and some arrive labeled beta, early access, or experimental. Those features are provided as is. They may change, break, produce poor results, lose data, or be removed entirely. Using them is voluntary and at your own risk. If we give you a feature before it is public and tell you it is confidential, do not disclose it or post about it until we release it.

3. Accounts and Security

3.1 Registration

Registration via phone number may be required for some features. You must provide accurate, current, and complete information during registration and keep your information updated.

3.2 Account Security

You are responsible for any activity that occurs under your account or phone number. You agree to:

  • Maintain the security of your account credentials
  • Notify us promptly of any unauthorized access or security breach
  • Not share your account with others or allow others to use your phone number to access your account

3.3 Account Verification

We may require verification of your phone number or other information to provide the Service. You consent to receiving verification codes via SMS.

4. Acceptable Use and Prohibitions

4.1 General Prohibitions

You agree that you will NOT:

  • Access or use the Service in violation of any applicable law or regulation
  • Use the Service if you are under 13 years of age
  • Probe, scan, or test the vulnerability of the Service or any related system
  • Interfere with or disrupt the Service, servers, or networks connected to the Service
  • Use automated means (bots, scrapers, spiders) to access the Service except as permitted by robots.txt for public pages
  • Upload or transmit malware, viruses, spam, or unlawful, defamatory, harassing, or infringing content
  • Impersonate others or misrepresent your affiliation with any person or entity
  • Use the Service to create competing AI models or to extract datasets or outputs programmatically without our written consent
  • Attempt to reverse engineer, decompile, or extract source code from the Service
  • Use the Service to harm, threaten, harass, or abuse any person
  • Use the Service to generate or distribute illegal content

4.2 Content Policy

The Service may engage in conversational roleplay and respond to a wide range of topics. However:

  • You may not use the Service to create content that sexualizes minors in any way, shape, or form.
  • The Service adapts to users and their communication style while maintaining appropriate boundaries.

4.2.1 Uncensored / Adult Content

The Service provides uncensored, explicit, and adult image and video generation and editing tools for eligible users. By enabling and using these features, you explicitly agree to the following:

  • Eligibility: You must be at least 18 years of age and have verified your identity via government-issued ID through our age verification process. You must also hold an active Shuffle Pro subscription.
  • Consent and Authorization: You represent and warrant that you have obtained all necessary consents, permissions, and authorizations to create, process, and use any adult content generated through the Service. You will not use these features to create non-consensual intimate imagery.
  • Your Responsibility: You are solely responsible for all content you generate, download, or distribute using our uncensored features. DNFT, Inc. acts as a technology service provider and is not liable for your actions, any misuse, or any consequences arising from your use of adult content features.
  • Prohibited Uses: You may not use uncensored features to create content involving minors (strict prohibition), non-consensual intimate images, content for harassment, blackmail, or extortion, or any content that violates applicable laws in your jurisdiction.
  • Zero Tolerance: We maintain a zero tolerance policy for non-consensual content and content involving minors. Violations will result in immediate permanent account termination and may be reported to law enforcement.
  • No Liability: DNFT, Inc. provides image processing tools as a service. We do not control, monitor, or approve the specific content users generate. You indemnify and hold harmless DNFT, Inc. from any claims, damages, or legal consequences arising from your use of uncensored features.

4.3 Sensitive Information

The Service is not designed to be a vault. Unless the Service asks you for it in order to finish something you requested, do not send:

  • Protected health information (PHI) under HIPAA
  • Government-issued identification numbers (Social Security numbers, passport numbers, etc.), except where we ask for identification as part of age verification
  • Financial account numbers or full payment card data
  • Special categories of data under GDPR (racial/ethnic origin, political opinions, religious beliefs, biometric data, health data, sexual orientation)
  • Passwords or other credentials for services you have not asked the Service to act on

When the Service asks you for a code or a sign-in

Features that act on your behalf (Section 2.5) sometimes cannot continue without you. A site may ask for a one-time verification code, or for you to sign in, in the middle of a task. When that happens the Service will ask you for it directly, and only for what that task needs.

Anything you provide this way is used to complete that task, is handled as sensitive, is not used to train AI models, and is retained no longer than the task and our security and legal obligations require. Details are in our Privacy Policy.

You are never required to hand over a credential. You can decline, and the task simply stops. Where a service offers a way to connect that does not involve giving us a password, prefer it. And treat any request that does not come from the Service itself, in your own conversation with it, as illegitimate: we will never ask for your credentials by email, by phone call, or through a link someone else sends you.

4.4 Child Safety and Zero Tolerance Policy

DNFT, Inc. maintains an absolute zero-tolerance policy for child sexual abuse material (CSAM) and child sexual exploitation.

  • A "minor" is defined as anyone under the age of 18 anywhere in the world.
  • Any content that sexualizes, exploits, or endangers minors is strictly prohibited.
  • We actively monitor for and report suspected child exploitation to the National Center for Missing & Exploited Children (NCMEC) and appropriate law enforcement authorities.
  • Accounts involved in any child exploitation activity will be immediately and permanently terminated.
  • We cooperate fully with law enforcement investigations.

If you encounter any content involving the exploitation of minors, report it immediately to support@dnftinc.com and to NCMEC at CyberTipline.org.

4.5 Voices, Likenesses, and Music

The Service can generate speech, music, and images and video of people. When you use those features:

  • Use a real person's voice, face, or likeness only if that person is you, or if you have their permission. Do not use the Service to make someone appear to say or do something they did not.
  • Do not present generated audio, images, or video as a genuine recording of a real event or a real statement.
  • Do not use generated voices or music to impersonate a person or a brand, to defraud anyone, or to defeat voice-based identity checks.
  • You are responsible for clearing the rights to anything you generate and then publish, distribute, or use commercially, including music.

5. Your Content

5.1 Ownership

You retain ownership of all text, images, and other content you submit to the Service ("User Content").

5.2 License to DNFT

By submitting User Content, you grant DNFT, Inc. a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to use, reproduce, host, store, modify, create derivative works of, publicly display, publicly perform, and distribute your User Content as necessary to:

  • Operate, maintain, and improve the Service
  • Provide the features and functionality you request
  • Train and improve DNFT AI models, and to the extent needed to provide the Service through third-party providers
  • Comply with applicable law
  • Enforce our Terms and policies

5.3 AI Model Training

Your content may be used to train AI models. This helps us improve the quality, accuracy, and capabilities of the Service. You acknowledge that:

  • Your User Content (including messages, images, and other inputs) may be used to train, fine-tune, and improve AI models operated by DNFT.
  • Third-party AI providers that process content on our behalf may handle it according to their own terms and policies, which may include using data for model improvement.
  • We cannot control how third-party providers use data once transmitted to them.

Opt-Out: If you do not want your content used for DNFT's internal model training, you may opt out by emailing privacy@dnftinc.com with the subject line "Model Training Opt-Out." Opting out applies going forward. It does not affect data already used for training, does not require us to retrain existing models, and does not change third-party providers' own practices.

One exception, and we will not budge on it: even if you opt out, we may still use content that is flagged for safety review to detect harmful material, enforce these Terms, and improve our safety systems, including our detection of content that exploits children.

5.4 Responsibility for User Content

You are solely responsible for your User Content. You represent and warrant that:

  • You own or have the necessary rights to submit your User Content
  • Your User Content does not infringe any third party's intellectual property or other rights
  • Your User Content complies with these Terms and all applicable laws

5.5 Things You Make and Share

Some features let you create things that live at a link, or post things to a shared or public part of the Service: apps, games, posts, and similar. When you create or publish something that way:

  • It is User Content. You are responsible for it, and Sections 5.2 and 5.4 apply to it.
  • Treat a link as public. Anyone who has the link may be able to open it. Do not put anything in it that you would not want seen, and do not put other people's personal information in it.
  • You grant us the additional right to host it, display it, and share it with the people you share it with, for as long as it is live.
  • We may remove, disable, or stop hosting anything that breaks these Terms, and we may stop hosting this kind of content generally.

5.6 Feedback

We like feedback and we act on it. If you send us ideas, suggestions, bug reports, or requests, you grant us an unrestricted right to use them for any purpose, with no obligation and no compensation to you. Feedback is not confidential, and sending it does not give you any rights in the Service.

6. AI Output, Limitations, and Disclaimers

6.1 Nature of AI Output

The Service generates text, images, and other content ("Output") using artificial intelligence. You acknowledge and agree that:

  • Output may not be unique; other users may receive the same or similar Output
  • Output is generated algorithmically and may contain errors, inaccuracies, or inappropriate content
  • Output may be incomplete, outdated, or misleading
  • You should not represent that AI-generated Output was created by a human

6.2 Rights to AI-Generated Output

Your Rights:

As between you and DNFT, you own the Output generated by the Service in response to your inputs. DNFT assigns to you any rights it may have in such Output. You may use Output for any personal or commercial purpose, subject to these Terms and applicable law.

Important: Output may not be eligible for copyright protection under current law, as copyright typically requires human authorship. Pure AI-generated content may not be copyrightable. If you want stronger IP protection, consider adding substantial human creativity (editing, combining, original additions) to the Output.

Your Responsibility:

You are responsible for ensuring that your use of Output does not infringe any third party's intellectual property or other rights.

License to DNFT:

By using the Service, you grant DNFT, Inc. a worldwide, non-exclusive, royalty-free license to use, store, reproduce, and analyze Output for purposes of:

  • Operating, maintaining, and improving the Service
  • Training and improving AI models
  • Quality assurance and safety monitoring
  • Aggregated analytics and research

We will not publicly publish or share Output in a way that identifies you without your consent, except as required by law or to enforce our Terms.

6.3 AI Limitations

THE AI HAS SIGNIFICANT LIMITATIONS. IT MAY:

  • Produce incorrect or misleading information presented confidently
  • Fail to understand context or nuance
  • Generate responses that are offensive or inappropriate
  • Not have access to current information or real-time data
  • Make errors in calculations, facts, or reasoning

DO NOT RELY ON AI OUTPUT AS A SOLE SOURCE OF TRUTH FOR ANY IMPORTANT DECISION.

6.4 No Professional Advice

THE SERVICE DOES NOT PROVIDE AND IS NOT A SUBSTITUTE FOR PROFESSIONAL ADVICE OF ANY KIND, INCLUDING BUT NOT LIMITED TO:

  • Medical, health, or mental health advice
  • Legal advice
  • Financial, tax, or investment advice
  • Emergency services

The Service is for informational and entertainment purposes only. Always consult qualified professionals for important matters affecting your health, legal rights, finances, or safety.

6.5 Mental Health and Crisis Support

If you are experiencing a mental health crisis, thoughts of self-harm, or suicidal ideation:

  • Call or text 988 (Suicide & Crisis Lifeline)
  • Text HOME to 741741 (Crisis Text Line)
  • Call 911 for emergencies

The AI may provide supportive responses and crisis resources, but it is NOT a mental health professional and cannot provide therapy, diagnosis, or treatment. If you are in distress, please reach out to trained professionals immediately.

6.6 Assumption of Risk

By using the Service, you acknowledge that AI technology is imperfect and accept full responsibility for:

  • Evaluating and verifying any Output before relying on it
  • Any decisions you make based on Output
  • Any consequences resulting from your use of the Service or reliance on Output
  • Any Action taken at your request, and any consequence of it (Section 2.5)

6.7 Content the Service Reads Is Not Trustworthy

When the Service reads a web page, a document, a message, or anything else it did not write, that content can be wrong, out of date, or deliberately deceptive.

It can also be aimed at the AI rather than at you. Pages and documents can carry hidden or misleading text written specifically to steer an AI assistant into doing something the person using it never asked for. We work to resist this, and we cannot promise we always will.

So: check what matters before you rely on it, keep an eye on tasks that can spend money or send things on your behalf, and tell us at support@dnftinc.com if the Service does something you did not ask for.

7. Third-Party Services

7.1 Third-Party AI Providers

The Service is built on third-party models and infrastructure. To answer you and to act for you, your content may be transmitted to providers in categories including, but not limited to:

  • AI model providers (text, image, video, audio, and speech)
  • Search and web-retrieval providers
  • Browser and automation infrastructure used to carry out Actions
  • Messaging and communications carriers, for SMS/MMS delivery
  • Cloud hosting, storage, and delivery providers
  • Payment and billing providers
  • Any Connected Service you choose to connect (Section 2.6)

Use of these providers is subject to their respective terms and privacy policies. Our Privacy Policy describes what they receive, and you can request the current list of the categories of providers we use by emailing privacy@dnftinc.com.

7.2 Third-Party Links

The Service may contain links to third-party websites or services. We are not responsible for the content, privacy practices, or terms of any third-party sites.

8. Communications Consent

8.1 Program Description

Shuffle is an AI-powered messaging service that provides conversational AI assistance, image generation, information retrieval, reminders, games, and other features via SMS and iMessage. When you text our service number, you interact with an AI assistant that responds to your messages.

8.2 Consent and Message Types

By providing your phone number and using the Service, you expressly consent to receive SMS and MMS messages from Shuffle. Messages fall into two categories:

Transactional Messages (required for Service operation):

  • AI-generated responses to your messages
  • Service-related notifications (account, security, billing)
  • Scheduled nudges and reminders (if enabled)
  • Updates while the Service is working on something for you, including a question it needs answered to continue, and the result when it finishes
  • Messages Shuffle starts on its own. Shuffle is a conversational assistant, and it may text you first: to follow up on something you said, check in, or surface something it thinks is useful to you. These are part of the Service, not marketing.
  • Verification codes

Promotional Messages (require separate express consent):

  • Special offers and discounts
  • New feature announcements
  • Marketing communications

You may receive promotional messages only if you opt in through our website or by texting a promotional keyword.

Consent to receive promotional messages is not required to use the Service or make a purchase.

8.3 Message Frequency

Message frequency varies based on your usage:

  • AI responses: You receive a response each time you message us.
  • Transactional: As needed for account activity, security, or features you enable.
  • Messages Shuffle starts on its own: Occasional, and paced to your activity. You can turn these down or off at any time by telling Shuffle in the conversation, by changing your notification preferences, or by texting STOP to end everything.
  • Promotional: If opted in, up to 4 promotional messages per month.

8.4 Costs

Msg and data rates may apply. You are responsible for any charges from your mobile carrier.

8.6 Opt-Out / Stop

To stop receiving all messages and disable the Service, text STOP, UNSUBSCRIBE, or OPT-OUT. This will end all AI responses, transactional messages, and promotional messages for your phone number.

To reactivate, send any message to our service number.

To opt out of promotional messages only (while keeping the Service active), email support@dnftinc.com with subject "Opt Out Promotions."

9. Privacy

Our Privacy Policy explains how we collect, use, share, and protect your information. By using the Service, you consent to the practices described in our Privacy Policy. The Privacy Policy is incorporated into these Terms by reference.

10. Fees, Billing, and Subscriptions

10.1 Free and Paid Features

Some features of the Service are free. Other features require a paid subscription.

10.2 Subscription Terms

Paid subscriptions renew automatically at the end of each billing period unless canceled before the renewal date. By subscribing, you authorize DNFT and our payment processor (Stripe) to charge your payment method for the applicable fees.

10.3 Pricing

Current pricing is available at addshuffle.com. We reserve the right to change pricing at any time. Price changes will not affect your current billing period but will apply to subsequent renewals.

10.4 Refunds

All payments are final and non-refundable except where required by applicable law. Canceling your subscription will stop future charges but does not entitle you to a refund for the current billing period.

10.5 Payment Processing

Payments are processed by Stripe, Inc. We do not store your full payment card information. By providing payment information, you agree to Stripe's terms and privacy policy.

10.6 Credits

Some features are metered in credits.

  • What they are. Credits are a prepaid, limited license to use metered features. They are not money, not a stored-value account, and they have no cash value.
  • How you get them. Credits may be included with a plan, granted periodically, given as a promotion, or purchased.
  • How they are spent. Different features cost different amounts, and a feature's cost can change as our underlying costs change. Credits are deducted when the work runs.
  • When something fails. If a request fails on our side, we return the credits for it. A result you simply do not like is not a failure, and those credits are spent.
  • Not transferable. Credits belong to your account. You may not sell, transfer, or exchange them, and they are not redeemable for cash except where the law requires it.
  • Expiry and changes. Granted and promotional credits may expire. We may change credit amounts, prices, and grant rules going forward. Purchased credits are non-refundable except as required by law or as stated in Section 10.4.
  • If your account ends. Unused credits are forfeited on termination or closure of your account, except where the law requires otherwise.

Credits pay for Shuffle's own features. They are not used to pay merchants for things the Service buys for you, which are covered by Section 2.7.

11. Intellectual Property

11.1 DNFT Ownership

The Service, including all software, content, features, functionality, designs, trademarks, and intellectual property (excluding User Content), is owned by DNFT, Inc. and protected by copyright, trademark, and other intellectual property laws.

11.2 Limited License

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for personal or commercial purposes.

11.3 Restrictions

You may not:

  • Resell, sublicense, or redistribute access to the Service
  • Use the Service to create a competing product or service

12. Indemnification

You agree to indemnify, defend, and hold harmless DNFT, Inc. and its officers, directors, employees, agents, affiliates, successors, and assigns from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:

  • Your use of the Service
  • Your User Content
  • Your violation of these Terms
  • Your violation of any law or regulation
  • Your violation of any third party's rights
  • Any dispute between you and any third party

We reserve the right, at your expense, to assume the exclusive defense and control of any matter for which you are required to indemnify us.

13. Disclaimers and Limitation of Liability

13.1 Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, DNFT, INC. DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO:

  • IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT
  • WARRANTIES THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES
  • WARRANTIES REGARDING THE ACCURACY, RELIABILITY, OR COMPLETENESS OF ANY OUTPUT OR CONTENT

13.2 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:

DNFT, INC. SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF PROFITS, GOODWILL, DATA, OR OTHER INTANGIBLE LOSSES, REGARDLESS OF WHETHER WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS SHALL NOT EXCEED THE GREATER OF: (A) ONE HUNDRED U.S. DOLLARS ($100); OR (B) THE TOTAL AMOUNT YOU PAID TO DNFT FOR THE SERVICE IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

13.3 Basis of the Bargain

The disclaimers and limitations in this Section 13 reflect a reasonable allocation of risk and are a fundamental basis of the bargain between you and DNFT. The Service would not be provided without these limitations.

14. Dispute Resolution and Arbitration

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO FILE A LAWSUIT IN COURT.

14.1 Informal Resolution

Before initiating any formal dispute resolution, you agree to first contact us at support@dnftinc.com to attempt to resolve the dispute informally. We will attempt to resolve the dispute within 30 days.

14.2 Binding Arbitration Agreement

If we cannot resolve a dispute informally, you and DNFT agree that any dispute, claim, or controversy arising out of or relating to these Terms, the Service, or our relationship (collectively, "Disputes") will be resolved exclusively through binding individual arbitration, rather than in court, except that:

  • Either party may bring individual claims in small claims court if they qualify
  • Either party may seek injunctive or other equitable relief in court for claims involving intellectual property infringement

14.3 Arbitration Rules and Procedures

Arbitration will be administered by National Arbitration and Mediation ("NAM") under its Comprehensive Dispute Resolution Rules and Procedures, or by another mutually agreed arbitration provider. The arbitration will be conducted by a single arbitrator.

  • Location: Arbitration hearings may be conducted by phone, video conference, or in person in New Castle County, Delaware, at the arbitrator's discretion.
  • Governing Law: The Federal Arbitration Act governs the interpretation and enforcement of this arbitration agreement.
  • Fees: Each party is responsible for their own arbitration filing fees and costs. If you cannot afford the filing fee and provide documentation of financial hardship, we may, in our sole discretion, consider paying your filing fee.
  • Confidentiality: The arbitration proceedings and any award shall be confidential.

14.4 Class Action Waiver

YOU AND DNFT AGREE THAT EACH PARTY MAY BRING DISPUTES ONLY IN AN INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, OR REPRESENTATIVE ACTION.

The arbitrator may not consolidate claims or preside over any form of class, collective, or representative proceeding. If this class action waiver is found unenforceable, then the entirety of this arbitration agreement shall be null and void, and the dispute will proceed in court.

14.5 Jury Trial Waiver

BY AGREEING TO ARBITRATION, YOU AND DNFT WAIVE THE RIGHT TO A JURY TRIAL.

14.6 Opt-Out Right

You may opt out of this arbitration agreement within 30 days of first using the Service by sending written notice to:

Your notice must include your name, phone number, and a clear statement that you wish to opt out of the arbitration agreement. If you opt out, you may pursue claims in court, subject to the other terms herein.

14.7 Survival

This arbitration agreement will survive termination of your account and these Terms.

15. Termination

15.1 Termination by You

You may stop using the Service at any time. To delete your account, contact support@dnftinc.com.

15.2 Termination by DNFT

We may suspend or terminate your access to the Service at any time, with or without cause, with or without notice, including if we believe you have violated these Terms.

15.3 Effect of Termination

Upon termination:

  • Your right to use the Service immediately ceases
  • We may delete your account and User Content
  • Any fees paid are non-refundable
  • Sections 5.2 (License to DNFT), 6 (AI Output), 12 (Indemnification), 13 (Disclaimers), 14 (Arbitration), and 17 (General) survive termination

16. Modifications to Terms

We may modify these Terms at any time. If we make material changes, we will notify you by:

  • Posting the updated Terms on our website with a new effective date
  • Sending notice to your phone number or email (if available)

Your continued use of the Service after the effective date of any changes constitutes your acceptance of the modified Terms.

17. General Provisions

17.1 Governing Law

These Terms are governed by the laws of the State of Delaware, without regard to conflict of law principles.

17.2 Entire Agreement

These Terms, together with the Privacy Policy and any other policies referenced herein, constitute the entire agreement between you and DNFT regarding the Service.

17.3 Severability

If any provision of these Terms is found invalid or unenforceable, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.

17.4 No Waiver

Our failure to enforce any right or provision of these Terms will not constitute a waiver of that right or provision.

17.5 Assignment

You may not assign or transfer these Terms or your rights hereunder without our prior written consent. We may assign these Terms without restriction.

17.6 Force Majeure

We will not be liable for any failure or delay in performance due to circumstances beyond our reasonable control.
